1. About these terms
These Terms of Service govern your use of Shinrai's services and website at shinrai.digital. By subscribing to a Shinrai plan or submitting a support ticket, you agree to these terms. Please read them carefully.
Shinrai is operated from Australia. References to "we", "us", or "Shinrai" refer to the Shinrai business.
2. Our services
Shinrai provides monthly Shopify development support through two subscription plans:
- Starter ($50 USD/mo): Up to 3 support tickets per month, email support, 48-hour turnaround.
- Growth ($100 USD/mo): Up to 10 support tickets per month, Slack and email support, 24-hour turnaround.
Tickets cover theme customisation, bug fixes, app integrations, speed optimisation, analytics, SEO, and related Shopify development work. Each ticket represents a single, clearly defined task. Complex projects requiring significant scoping or build time may be quoted separately.
3. Subscriptions and billing
Subscriptions are billed monthly in advance via Stripe. Your subscription renews automatically on the same date each month unless cancelled. Prices are listed in USD and are inclusive of all applicable taxes.
Unused tickets do not roll over to the following month. Ticket allowances reset on your monthly renewal date.
4. Cancellations and refunds
You may cancel your subscription at any time through Stripe or by contacting us at hello@shinrai.digital. Cancellations take effect at the end of your current billing period — you retain access to support for the remainder of the month you have paid for.
We do not offer refunds for partial months or unused tickets. If you experience a significant issue with our service, please contact us and we will work to make it right.
5. Turnaround times
Turnaround times (48 hours for Starter, 24 hours for Growth) refer to our initial response and commencement of work on a ticket, measured during business hours (Monday to Friday, 9am to 6pm AEST), excluding Australian public holidays. Complex tasks may take longer, in which case we will communicate an expected completion time.
6. Your responsibilities
To allow us to complete your work efficiently, you agree to:
- Provide accurate information about your Shopify store and the work required.
- Grant us collaborator access to your Shopify store when requested.
- Review and approve completed work in a timely manner.
- Ensure you have the rights to any content, images, or assets you ask us to use.
We are not responsible for delays caused by incomplete information, lack of access, or failure to respond to our queries.
7. Intellectual property
All work completed by Shinrai on your store becomes your property upon full payment of the relevant billing period. We retain the right to use anonymised examples of our work for portfolio and marketing purposes, unless you request otherwise in writing.
8. Limitation of liability
Shinrai will take all reasonable care in performing services. However, we are not liable for any indirect, incidental, or consequential loss or damage arising from our services, including but not limited to lost revenue, data loss, or store downtime.
Our total liability to you for any claim arising from our services is limited to the amount you paid us in the month in which the issue occurred.
9. Changes to these terms
We may update these terms from time to time. We will notify you by email of any material changes. Continued use of our services after changes take effect constitutes acceptance of the updated terms.
10. Governing law
These terms are governed by the laws of New South Wales, Australia. Any disputes will be subject to the exclusive jurisdiction of the courts of New South Wales.
